David has more than 30 years of experience representing small and mid cap businesses in transactional and litigation matters in Virginia and the District of Columbia.  He is regular outside counsel to one of largest locally based restaurant chains in Greater DC and one of the largest independent used automobile dealership groups in the Washington DC area. Graduated with honors in 1987 from the Antonin Scalia School of Law at George Mason University where he was President of the Phi Delta Phi law society. David’s prior work experience includes:

  • David represented procuring agent in connection with principal’s investment in excess of $250,000,000 in US company resulting in fees to agent in excess of $8.5 Million.
  • Represented lender in connection with $10,000,000.00 loan to foreign entity
  • Represented promoter in connection with investor’s 12,000,000 Euro investment in proposed US sporting event
  • Regularly advises used automobile dealerships on compliance, including those under TILA, the FCRA and various consumer protection statutes
  • Defense of automobile dealers in more than 100 consumer fraud claims in court and arbitration proceedings
  • Litigated business divorce between partners involving the disposition of and accounting for more than fifteen commonly owned businesses
  • Litigated minority shareholder disputes leading to corporate dissolutions and/or buyouts
  • Litigated claims against bank for erroneous payments from client’s account resulting in full repayment of more than $150,000.00 to client
  • Recover of full finder’s fee of $600,000 against UK Joint Venture
  • Drafted and litigated employment contracts, executive compensation, stock option and severance issues, confidentiality, non-compete clauses, shareholder agreements, buy-sell agreements
  • Negotiation and drafting of stock and asset purchase agreements
  • Negotiation and drafting of leases and real estate purchase agreements
